To maintain the privacy and confidentiality of our property listings and client transactions, we require all prospective buyers to complete a Non-Disclosure Agreement (NDA).

Confidentiality & Non-Disclosure Agreement

This Confidentiality and Non-Disclosure Agreement (“Agreement”) is entered into between Nav Sahi – Maxwell Central (“Disclosing Party”) and the undersigned individual or entity (“Receiving Party”), in connection with the Receiving Party’s interest in reviewing information on businesses and/or real estate properties introduced by the Disclosing Party.

By clicking “Submit,” you acknowledge and agree to be legally bound by the terms and conditions outlined below.

Purpose

The Receiving Party agrees that all information shared in relation to the properties/businesses (“Entities”) is confidential and will be used solely for the purpose of evaluating a potential purchase or investment.

Confidential Information Includes (but is not limited to):

  • Business financials, lease agreements, and revenue data
  • Identity of owners, tenants, and employees
  • Address and details of the properties or businesses
  • Equipment lists, appraisals, maps, or drawings
  • That the business/property is for sale

 

Non-Disclosure Obligations

The Receiving Party agrees:

  • Not to disclose any information to any third party without written consent.
  • Not to contact the owners, employees, landlord, franchiser, suppliers, customers, or competitors directly or indirectly.
  • Not to reproduce, copy, or retain any documents without Disclosing Party’s permission.
  • To return or destroy any shared documents upon request.

 

No Warranty or Agency

The Receiving Party acknowledges that all information is provided by the Seller(s), and has not been verified by the Disclosing Party. No warranties are made, and the Brokerage Maxwell Central – Nav Sahi acts solely as an agent of the Seller(s).

Duration of Confidentiality

This Agreement will remain in effect for five (5) years from the date of submission.

Legal Liability

The Receiving Party agrees to be fully liable for any breaches of this Agreement and acknowledges that legal remedies, including injunctive relief and damages, may be pursued by the Disclosing Party.

Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the Province of Alberta, Canada.
